Partnership Exit
The matter concerneda dispute between partners regarding continuation of the partnership, termination of the partnership agreement, and recovery of capital in circumstances involving company losses and alleged breaches.
The arbitral proceedings required review of the partnership agreement, the financial position relevant to the dispute, alleged violations, company losses, evidentiary materials, and the claims associated with withdrawal from the company.
Determining the rights and obligations governing the relationship between the partners.
Assessing the legal basis for ending the partnership and allowing a partner to exit.
Analysing the claim for recovery of invested capital and its financial consequences.
Considering the effect of losses on the rights and obligations of the partners.
Assessing the conduct relied upon as grounds for termination of the partnership.
Evidentiary Record
One party sought to terminate the partnership, while the other wished to preserve the company and continue the relationship.
Financial losses formed part of the dispute and affected the assessment of each party’s legal and financial position.
The claim required analysis of the relationship between invested capital, business losses, and the obligations arising under the partnership agreement.
It was necessary to determine whether the alleged breaches were established and whether they justified termination of the partnership.
Both parties relied on evidence supporting their respective positions, requiring careful assessment of probative value.
The dispute involved not only contractual interpretation, but also an operating business, active projects, losses, and financial claims.
The process began by identifying the principal contractual rights and obligations governing the relationship between the parties.
The alleged breaches were analysed independently from the financial losses affecting the company.
The claims concerning capital and the financial consequences of continuing or terminating the partnership were considered separately.
Documents and submissions were evaluated objectively by reference to the agreement and the facts in dispute.
The requests for termination, return of capital, and continuation of the company were assessed within a single legal framework.
The dispute was determined by an arbitral award that subsequently proceeded to judicial confirmation and enforcement.
Hearing and determining the dispute as a sole arbitrator appointed by the competent court.
Analysing the rights and obligations arising under the partnership agreement.
Reviewing the documents and submissions concerning alleged breaches and losses.
Assessing claims relating to recovery of capital and other financial rights.
Resolving the disagreement concerning continuation or termination of the partnership.
Rendering an award that was subsequently upheld and ordered to be enforced.
The proceedings resulted in a judicial ruling in favour of the client by the General Court in Makkah. The judgment confirmed the opposing party’s wrongful entry onto the client’s property, thereby supporting the client’s legal position in relation to the property encroachment. The underlying claim also included removal of the encroachment and compensation for the period during which the affected portion of the property had been occupied and used.
Partner disputes differ from many other commercial disputes because the disagreement may concern not only a financial claim, but also the future of the commercial relationship itself.Where one partner seeks to exit while the other seeks continuation of the company, the analysis must consider the partnership agreement, grounds for termination, invested capital, business losses, alleged breaches, and each party’s financial rights as part of one integrated dispute. The existence of business losses does not, by itself, determine liability or establish a right to terminate the partnership. Those issues must be assessed by reference to the agreement, the facts, and the evidence submitted.
