The dispute concerned the parties’ compliance with the commercial franchise agreement and the associated investment agreements, together with the effect of the alleged contractual breaches on the project and the client’s rights.
The principal legal matters included:
Reviewing the permitted use of the brand, franchise term, fees, territory, operating standards, and default and termination provisions.
Identifying the parties’ contributions, management authority, allocation of profits and losses, and responsibility for the project’s obligations.
Analysing quality, supply, training, marketing, reporting, and outlet-operating requirements.
Identifying the contractual breaches, assessing their financial and commercial consequences, and evaluating the legal basis for compensation.
Reviewing the grounds for termination, notice and cure procedures, and the consequences of terminating the franchise and related agreements.
Determining the arbitral tribunal’s jurisdiction and preparing the claims, defences, legal memoranda, and supporting evidence.
The project was governed by commercial franchise, partnership, mudarabah, and related investment agreements. It was necessary to identify the agreement governing each right and obligation and assess the effect of terminating one agreement on the remaining contractual relationship.
Each alleged breach was linked to the relevant contractual provision and supported by documents, correspondence, and operational records. Material breaches were distinguished from minor breaches to determine whether termination was justified.
The legal review assessed how the alleged breaches affected operations, revenues, business continuity, and the client’s contractual rights to determine whether termination and compensation were legally justified.
The matter required identification of amounts paid, operating expenses, financial losses, and other claims arising from the alleged breaches. Each head of claim had to be linked to supporting evidence and an appropriate contractual and legal basis.
The arbitration clause was reviewed to determine the tribunal’s jurisdiction, while ensuring compliance with applicable procedures, deadlines, and filing requirements.
The legal work had to address the consequences of termination for use of the brand, operation of the outlets, licences, records, accounts, and the parties’ continuing obligations.
The commercial franchise agreement, partnership and mudarabah agreement, and related investment arrangements were reviewed. This analysis identified the source of each right and obligation and the agreement governing each claim.
The agreements, correspondence, invoices, operational records, and financial documents were organised and connected with the alleged breaches. The objective was to build a clear evidentiary record for presentation before the arbitral tribunal.
Each alleged breach was analysed separately to identify the obligation violated and its effect on the client and the project. The materiality of the breaches and the legal basis for termination and compensation were also assessed.
A detailed legal study was prepared covering the agreements, alleged breaches, losses, arbitration clause, and available legal options. The study also assessed the principal strengths, risks, and relief capable of being sought.
Pleadings, claims, defences, responses, and arbitration memoranda were prepared in support of the termination and compensation claims. The submissions linked the facts and evidence to the relevant contractual and legal grounds.
The legal team represented the client before the arbitral tribunal, presented the claims and supporting evidence, followed the proceedings, and responded to the opposing party’s submissions.
Providing advice concerning the franchise, partnership, and mudarabah arrangements, the alleged breaches, and the legal options available to the client.
Preparing a detailed assessment of the agreements, breaches, losses, arbitration clause, and legal basis for the claims.
Representing the client and conducting the dispute in accordance with the procedures applicable before the arbitral tribunal.
Preparing claims, defences, responses, and arbitration memoranda required to protect the client’s legal position.
Conducting legal research concerning commercial franchises, partnerships, termination, compensation, and arbitration.
Presenting the client’s position, claims, evidence, and legal arguments and following the arbitration proceedings.
Commercial franchise disputes become more complex where the franchise arrangement is connected with partnership or mudarabah agreements because the parties’ rights and obligations may arise under several contracts simultaneously. It is therefore necessary to identify the agreement governing each obligation, document the alleged breach, establish its effect on the project, and assess whether it is sufficiently material to support termination or compensation.Arbitration also requires a structured legal file connecting the facts, documentary evidence, contractual provisions, and relief sought, while complying with the applicable procedural requirements and deadlines.
