Judgment in favour of the client and dismissal of the opposing partner’s claim
The dispute arose between two partners in a Hajj and Umrah services company with assets and investments of approximately SAR 10 million. One partner filed a claim seeking disclosure of the company’s budgets, annual financial statements, and certain corporate documents, alleging that the client had prevented access to them. The defence established that the claimant himself had administrative authority and access to the company’s records, and that no sufficient evidence showed that the client had actually denied him access. When the claimant failed to prove his allegation, the client took an oath denying the refusal, resulting in dismissal of the claim in the client’s favour.

The matter centred on whether there had been any actual refusal by the client to allow the opposing partner to access the company’s financial information and corporate documents.
The principal matters reviewed included:
Reviewing the legal position of each partner and the management authority associated with the partnership.
Assessing the request for disclosure of the company’s budgets and the extent to which they were available to the partners.
Reviewing the partner’s ability to inspect the company’s financial statements and whether any actual refusal had occurred.
Assessing the request for delivery of company documents in light of the claimant’s status and administrative access.
Determining whether sufficient evidence existed to establish the allegation that the client had refused access or delivery.
Developing and presenting the legal arguments demonstrating the claimant’s actual position within the company and the lack of sufficient evidence supporting the claim.
A central issue was distinguishing between the existence of a partner’s right to access company information and proof that the client had actually prevented the exercise of that right. The defence therefore focused on the absence of sufficient evidence establishing any refusal by the client.
The claimant was himself a partner with administrative authority and access to the company. Demonstrating that position was central to assessing the validity of the allegations.
The matter required careful review of the requests relating to budgets and financial statements and their relationship with the claimant’s existing rights within the company.
Each allegation required separate examination against the available evidence rather than acceptance of a general assertion that documents had been withheld.
Once the court required the claimant to produce evidence, the evidentiary process became a central part of the defence, ultimately leading to the oath procedure.
The defence also sought to prevent the same unsupported allegations from being used as a basis for repeated disputes against the client.
The legal team reviewed the parties’ respective partnership positions, management roles, and rights within the company.
The opposing partner’s claims were separated into distinct requests concerning budgets, financial statements, and delivery of corporate documents.
The defence demonstrated that the claimant was a partner with the ability to attend the company and inspect documents available to the partners.
The legal team focused on the absence of sufficient evidence showing that the client had refused disclosure or delivery.
The team addressed the evidentiary requirements imposed by the court and handled the oath procedure after the claimant failed to produce sufficient evidence.
The proceedings were managed through pleadings, submissions, and advocacy until the court dismissed the opposing partner’s claim
Providing legal advice concerning the partnership dispute, rights of access, and financial disclosure issues.
Analysing the claim, the parties’ authority, the partnership relationship, and the client’s legal position.
Representing the client and managing the defence throughout the proceedings.
Handling the judicial and procedural aspects of the matter on behalf of the client.
Preparing the pleadings, responses, defences, and legal memoranda required to address the opposing partner’s claims.
Preparing an investment agreement in connection with the relevant commercial and investment relationship.
A partner’s right to access company records does not automatically establish that a claim alleging denial of access is valid. The alleged refusal must be assessed against the factual circumstances, the partner’s actual authority within the company, and the evidence supporting the allegation.A partner’s management role and ability to access company records may therefore be highly relevant when assessing whether an alleged refusal actually occurred. For this reason, evidentiary management is often central to partnership disputes involving financial disclosure and access to corporate documents.
